These Terms of Service ("Terms") govern your access to and use of neuralworks.co and any content, contact forms, or features we make available on it (the "Site"), operated by Neuralworks AI, Inc. ("Neuralworks," "we," "us," or "our"), a Delaware corporation. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Eligibility
You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract, to use the Site. By using it, you represent that you meet these requirements.
The Site
The Site is an informational and marketing website. It describes Neuralworks and our services and lets you contact us. Any engagement, proposal, or provision of services is governed by a separate written agreement between you and Neuralworks; nothing on the Site is an offer, contract, or commitment to provide services, and information on the Site is provided for general purposes and may change without notice.
Acceptable use
When using the Site, you agree not to:
- use it in any unlawful way or for any unlawful purpose;
- attempt to gain unauthorized access to the Site, its systems, or related networks;
- interfere with or disrupt the Site or its infrastructure, including by introducing malware or overloading it;
- scrape, harvest, or collect information about others without authorization; or
- submit false, misleading, infringing, or unlawful content through the contact form or otherwise.
Intellectual property
The Site and its content — including text, graphics, logos, images, and the design and arrangement of the Site — are owned by Neuralworks or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your personal or internal business use. You may not copy, modify, distribute, sell, or create derivative works from the Site without our prior written permission. "Neuralworks" and our logos are our trademarks and may not be used without permission.
Your submissions
If you send us content or information (for example, through the contact form), you grant Neuralworks a non-exclusive, worldwide, royalty-free license to use it for the purpose of responding to you and operating our business, consistent with our Privacy Policy. You represent that you have the right to provide that content and that it does not violate any law or third-party right.
Third-party links
The Site may link to third-party websites or resources. We do not control and are not responsible for those third parties, and a link does not imply our endorsement. Your use of third-party sites is governed by their terms.
Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on it is accurate, complete, or current.
Limitation of liability
To the fullest extent permitted by law, Neuralworks and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site. Our total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You agree to indemnify and hold harmless Neuralworks and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site, your submissions, or your breach of these Terms.
Changes to the Site and these Terms
We may modify, suspend, or discontinue the Site or any part of it at any time. We may also update these Terms from time to time; when we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the revised Terms.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction.
